NOTICE IS HEREBY GIVEN that the Annual General Meeting ("AGM") of The Guernsey Rangers
Football & Athletic Club LBG (the “Company”) will be held at The Clubhouse, Route de Saint-André, Guernsey GY6 8TX on Tuesday 30th May 2023 at 20:00.

The Board of Directors of the Company (the “Board”) invite all Members to attend the AGM in person wherever possible. The Board encourages Members to contribute to the AGM by submitting any questions in advance of the meeting via the Committee or any other Member attending the AGM.

In accordance with Article 11 of the Company’s Articles of Association (the “Articles”), all Members will have received the requisite Notice of the Ordinary and Special business of the meeting at least 21 days ahead of the AGM. Members will only be able to vote on resolutions at the 2023 AGM in person.

In accordance with Article 17 of the Articles, the President shall preside as the chairman of the AGM.

In accordance with Articles 31-35 of the Articles, all Members attending will be asked to consider the matters of the following ordinary business and, if thought fit, to pass or to note the following Resolutions each of which will be proposed as Ordinary Resolutions:

1. THAT Jonathan Robillard re-elected as a Director and President of the Company;
2. THAT Mark Bousfield be elected as a Director and Non-Executive Chairman of the Company;
3. THAT Yvonne Kaill be re-elected as a Director and Secretary of the Company;
4. THAT Paul Robinson be elected as a Director and Treasurer of the Company; 5. THAT Lorraine Ellis be re-elected as a Non-Executive Director of the Company.
In accordance with Article 41 of the Articles, the Board will propose to appoint the following Members to the Club Committee:
1. THAT Jonathan Robillard elected as a Member and President of the Club Committee;
2. THAT Mark Bousfield be elected as a Member and Chairman of the Club Committee;
3. THAT Yvonne Kaill be re-elected as a Member and Administrator of the Club Committee;
4. THAT Paul Robinson be elected as a Member and Treasurer of the Club Committee;
5. THAT Lorraine Ellis be re-elected as a Member and Assistant Treasurer of the Club Committee;
6. THAT David McGall be elected as a Member and Secretary of the Club Committee;
7. THAT Shelly Tamsell be elected as a Member and Child Welfare Officer of the Club Committee;
8. THAT Ben Chandler be elected as a Member of the Club Committee.
9. THAT Lisa Tempest be elected as a Member and Child Welfare Officer of the Club Committee;
10. THAT Rob Batiste be elected as a Member & Media Officer of the Club Committee;
11. THAT Paul Heathcote be elected as a Member of the Club Committee;

The Board is of the opinion that the above Resolutions and proposals are in the best interests of the Company and its Members as a whole and unanimously recommends that Members vote in favour of the Resolutions to be proposed at the AGM.
